Please read these Terms and Conditions (“Terms” or “Agreement”) carefully before using the dispatch services, mobile applications, websites, and text messaging notification systems (collectively, the “Service”) operated by PREMIUM DISPATCH LLC (“Company,” “we,” “us,” or “our”).
By accessing or using our Service, you (“User,” “Client,” “Driver,” or “Carrier”) agree to be bound by these Terms. If you disagree with any part of these Terms, you do not have permission to access or use the Service.
1. Scope of Services
The Company provides a third-party logistical dispatch network that connects independent freight carriers, drivers, or service providers with clients requiring transport, delivery, or dispatch coordination.
The Company acts strictly as an intermediary coordinator and is not a direct motor carrier.
2. A2P SMS & Communication Policy
To coordinate timely dispatches, tracking, updates, and safety alerts, the Company utilizes Application-to-Person (A2P) SMS messaging. By providing your mobile telephone number to the Company, you explicitly consent to the following:
2.1. Consent to Receive A2P Messages
You agree to receive automated text messages, alerts, and notifications generated by our software platforms regarding dispatch schedules, delivery status, system updates, and account alerts.
2.2. Opt-In Mechanism
Your registration with our Service, submission of a contact form, or signing of a dispatch agreement serves as an official opt-in to receive these A2P communications.
2.3. Opt-Out (“STOP”) Instructions
You may opt out of receiving A2P SMS notifications at any time by replying “STOP” to any text message received from us. Upon doing so, you will receive a single confirmation message verifying your opt-out.
Please note that opting out of dispatch texts may impact our ability to provide real-time coordination or continue dispatch services with you.
2.4. Message and Data Rates
Standard message and data rates applied by your mobile carrier may apply to all incoming and outgoing A2P SMS messages. The Company is not responsible for any fees charged by your wireless provider.
2.5. Frequency of Messages
The frequency of text alerts varies depending on your active dispatch volume, route changes, and real-time coordination needs.
3. User Obligations and Account Security
Users agree to the following obligations:
-
- Provide accurate, current, and complete information during registration.
-
- Safeguard the credentials used to access the Service.
-
- Ensure that carriers and drivers maintain all legally required licenses, insurance, permits, and active regulatory statuses required by applicable local, state, and federal laws.
4. Fees and Payment Terms
-
- Clients and Carriers agree to the specific rate sheets, commission percentages, or flat fees outlined in their respective individual dispatch agreements.
-
- All fees are non-refundable unless stated otherwise in writing.
-
- Late payments may result in immediate suspension of dispatch privileges.
5. Limitation of Liability
To the maximum extent permitted by applicable law, the Company shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, cargo loss, property damage, delays, or personal injury resulting from your use of or inability to use the dispatch Service.
6. Privacy and Data Security
Your use of the Service is also governed by our Privacy Policy.
We collect, store, and utilize your personal data—including phone numbers used for A2P SMS—strictly to execute dispatch services, comply with telecommunications carrier frameworks (such as The Campaign Registry), and prevent unauthorized access.
We do not sell or lease SMS consent data to third-party marketers.
7. Termination
We reserve the right to terminate or suspend your account and access to our dispatch services immediately, without prior notice or liability, for any reason, including:
-
- A breach of these Terms.
-
- Failure to maintain necessary insurance.
-
- Violations of applicable A2P messaging compliance requirements.
8. Governing Law
These Terms shall be governed by and construed in accordance with the laws applicable in Denver, Colorado, without regard to its conflict-of-law provisions.
9. Changes to Terms
We reserve the right to modify or replace these Terms at any time.
If a revision is material, we will provide at least 30 days’ notice before any new terms take effect. Notice may be provided through our website, platform notifications, or A2P SMS alerts.
